Terms of Service

1. Who we are

Growclub Research (Private) Limited is a company registered in Sri Lanka as an engineering and research services company. In these terms, “we”, “us” and “Growclub” mean the company, and “you” means the person using our website or services.

By using growclub.lk or any of our services, you agree to these terms. If you don’t agree, please don’t use our services.

2. We don’t give investment advice

We are an engineering and research services company. We are not licensed or registered by the Securities and Exchange Commission of Sri Lanka as an investment adviser, investment manager or stockbroker.

• We do not recommend any security, coin, transaction, price or timing, and nothing we publish, build or say should be read as a recommendation.
• We do not give tips, signals, alerts or watchlists, and we do not share our own or our clients’ holdings or positions.
• Our monthly algorithm reports look back at how our algorithms performed. They are not a list of what to do next.
• We do not manage, hold or invest anyone’s money, and we do not accept investments from anyone.
• Our sessions teach how market algorithms are designed, built and tested. Where we teach automation, you connect your own accounts yourself. We never hold your login details or API keys, and we never act on your accounts.

If you want advice on your own investments, please speak to an adviser licensed by the SEC.

3. Your decisions and your risk

Using any strategy in live markets can lose you money, including more than you put in when you use leverage. Crypto is especially risky, and it is not regulated in Sri Lanka.

• You decide which markets to use our algorithms and tools on, and whether to act on them at all.
• Tests on past data (backtests) are not predictions. They show how a set of rules would have behaved in the past, under simplified conditions. Real results can be very different, because of costs, slippage, low volume, data errors and changing markets.
• Check before you rely on it. Before using any algorithm or code with real money, you are responsible for checking that it works the way you expect, ideally on a demo account first.
• Our free calculators give estimates based on assumptions you can change. They are not valuations you should rely on alone.

4. Our services

• Free tools, such as the Fair Value Calculator, are provided as they are, without charge, and may change or be withdrawn at any time.
• Algorithmic Research 101 is two private online sessions of 90 minutes each. Both sessions must be used within 60 days of payment.
• Extra sessions are single private online sessions of 60 minutes, booked as needed.
• Inner Club is a 1-year membership, limited to the number of members shown on our Plans & Pricing page. It includes 1 strategy build per month (section 5), access to our in-house stock algorithms during your membership, monthly algorithm reports, the monthly research session, the annual members’ meetup and the members’ research group.
• Private Desk is a 1-year membership by application. We hold a short call with you and decide, at our discretion, whether to offer you a place; you pay only after we confirm. It includes everything in Inner Club, plus 2 strategy builds per month with priority, our crypto algorithms and their monthly reports, a monthly 60-minute 1-to-1 call, lessons on automating your own strategies, and a private session at the annual meetup.
• The annual meetup is held in Sri Lanka on a date and at a place we announce in advance. Your own travel and costs are yours, and a meetup you can’t attend is not refunded.
• Places: when a membership is full, you can join the waiting list. Joining the list does not guarantee a place.

Memberships do not renew automatically. We will contact you before your year ends, and you choose whether to renew. Unused builds, sessions or calls do not carry over into a renewed membership.

5. Strategy builds

Monthly allowance: Inner Club includes 1 build per membership month, and Private Desk 2. A month’s build counts as used when we start work on it. A build you don’t use in a month does not carry over to the next month and is not refunded.

What one build covers: one strategy, on one market, with one round of changes after you receive it. A different idea, a different market, or major changes after that round count as a new build.

What you give us: your rules, in plain words or explained in a session. We build exactly what you describe. If your rules are unclear or can’t be coded as written, we will ask you before building, and we will not add or change rules without your agreement.

What you get:

• The full code, written as a TradingView strategy (Pine Script) unless we agree another format.
• A test report on past data for the market you choose, showing the win rate, the worst drop, the number of trades and the losing trades, not only the winning ones.

Timing: we tell you the expected delivery date when we start. For Private Desk, work starts within 48 hours of receiving clear rules. Delivery may fall in the following month.

6. Code ownership and confidentiality

• Your builds: once delivered, you may use, change and keep the code for your own use, including after your membership ends. Your strategy idea stays yours.
• Confidentiality: we keep the rules and ideas you share with us confidential. We never reuse them, publish them or sell them to anyone else. Private Desk builds are also never shown in our sessions, reports or examples. We may only disclose them if the law requires it.
• Our general building blocks: general-purpose code and methods we use across many projects (for example, standard indicators or testing templates) remain ours, and we may keep using them.
• Our in-house algorithms remain our property. You may use them yourself during your membership, but you may not share, copy, resell or publish them, and your access ends when your membership ends.
• Members-only material: algorithm reports, session content and recordings are for members only and may not be shared or published.
• The content, designs and tools on growclub.lk belong to us unless stated otherwise.

7. Prices and payment

• All prices on growclub.lk are in Sri Lankan rupees (LKR).
• You order through WhatsApp. We confirm the order and send payment details, and we start your access or sessions once payment is received.
• Paying Inner Club in 3 parts: you pay one third when you join, then one third in each of the next two months. You are committing to the full year, not a monthly plan.
• Late parts: if a part is more than 7 days late, your access pauses until it is paid. If it is more than 30 days late, your membership ends. Parts already paid are not refunded once the 14-day refund period has passed.
• Algorithmic Research 101 credit: if you join Inner Club within 30 days of your second 101 session, the full 101 fee comes off your membership. The credit applies to Inner Club only and can’t be combined with a promo code.
• Promo codes apply to Inner Club only, give the discount shown, can’t be combined, and may be withdrawn at any time.
• Private Desk is offered at one price. No promo codes, credits or discounts apply.
• We may change our prices. A price change never affects something you have already paid for.

8. Cancellations and refunds

• Algorithmic Research 101 and extra sessions: a full refund if you cancel at least 48 hours before your first booked session. You can also move a session with 48 hours’ notice. A session missed or cancelled with less notice counts as used.
• Inner Club and Private Desk: ask within 14 days of joining and you get a full refund of what you have paid. No conditions. After 14 days, memberships are not refundable, except as set out in section 12.
• Private Desk applications: nothing is paid unless we offer you a place, so there is nothing to refund if we don’t.

Refunds are paid back to the account you paid from, usually within 7 working days. When a membership is refunded, access to it ends.

9. Third-party platforms

Our algorithms and tools run on platforms we don’t own or control, such as TradingView, your stockbroker, crypto exchanges and WhatsApp. You need your own accounts with them, and any subscription or fees they charge are yours. If you connect a strategy to your own account, you do it yourself and remain fully in control of it. We are not responsible for these platforms’ outages, data errors, price feeds, rule changes or decisions.

10. Fair use and the members’ groups

• Your membership is for you alone. Please don’t share your access, our algorithms or members-only material with others.
• No tips in the members’ groups, from anyone, including us. No buy or sell calls, watchlists, target prices, portfolio screenshots, “pump” messages, promotions or spam.
• Be respectful. We may remove messages or members that break these rules.
• Don’t use our services for anything illegal, including market manipulation.

11. Limits of our responsibility

We build and test our software with care, but it is provided “as is”. We don’t promise it will be free of errors or available without interruption, or that any algorithm or strategy will make money.

As far as the law allows:

• We are not responsible for any investment or market losses, lost profits, or decisions you make using our algorithms, code, reports or content.
• Our total responsibility to you for any claim is limited to the amount you paid us for the service the claim relates to, in the 12 months before the claim.

Nothing in these terms removes rights you have under Sri Lankan law that can’t legally be removed.

12. Ending your access

You can stop using our services at any time. We may suspend or end your access if you break these terms, for example by sharing our algorithms, posting tips or not paying a part on time (section 7). If we end your access without you breaking these terms, we will refund the unused part of what you paid.

13. Changes and governing law

We may update these terms. We will change the effective date at the top of this page, and tell members about important changes on WhatsApp. Changes do not apply to anything you have already paid for unless you agree: memberships bought before a change continue on the terms they were sold with until they end.

These terms are governed by the laws of Sri Lanka, and the courts of Colombo have jurisdiction over any dispute. We will always try to resolve a problem with you directly first.
